Smith+Nephew to Acquire Integrity Ortho for Up to $450M .
Smith+Nephew plc, a global medical technology company, has agreed to acquire Integrity Orthopaedics Inc. in a transaction valued at up to $450 million, aimed at strengthening its sports medicine and shoulder repair portfolio. Under the terms of the deal, Smith+Nephew will pay $225 million in upfront cash and up to an additional $225 million in performance-based payments payable over the next five years. Integrity Orthopaedics is a U.S.-based developer of the Tendon Seam rotator cuff repair system, a surgical technology designed to reduce re-tear rates and improve outcomes for patients undergoing rotator cuff repair procedures. The transaction is expected to close by the end of January 2026 and to support Smith+Nephew’s strategic growth objectives in the expanding rotator cuff repair market.
